RegNow’s New Pricing and Contract Information

With the new pricing option of 16%, RegNow updated the entire contract. The core contract is the same, but changing the style makes it easier to comprehend and the “legal speak” that can be confusing has been removed.
Changes in the laws over the years about trademarks, like the DMCA, SPAM, etc were not added previously to RegNow’s contract and by outlining them we clearly lay out the needed requirements to ensure our mutual interests are covered by the contract with RegNow.
Some questions and answers:
Q: Will my old contract be terminated if I don’t sign the new one?
A: Absolutely not!!! The new contract is completely optional.
Q: For what reasons might I want to stay at the higher rate?
A: The biggest difference in the new contract (other than the rate reduction) is the fact that the new rate is based on gross sales. RegNow had been about the only registration service that charged our rate on net sales (defined as sales after returns and charge backs). Registration services incur expenses every time we process an order; even more when an order is returned. So it only makes sense that rates are based on gross sales. If you have very high returns and charge backs, it may actually make more sense for you to stay at 20% under the existing contract. If you have low returns and charge backs, well then the new contract will cut your rate by four points.
Q: Why does the contract have to be so long?
A: When we began making changes to the rate information in the new contract, we found that the existing RegNow contract was extremely out of date. We needed to add verbiage to address items like the DMCA, Can Spam Act, changes to privacy, etc. Also, because RegNow is part of a much larger organization, we have to make absolutely certain that that entire organization is protected. We hope you notice that we tried extremely hard to write the contract using verbiage that people other than lawyer-types would be able to understand.
Q: What’s this about CD’s and download insurance? Are you requiring that I add this to every order?
A: Absolutely not. We have been offering extended download service and CD services for some time now. For those clients who have been offering these options to their customer, nothing changes. Those services, the pricing to your customers and the revenue that you make from these services has not changed. All we are requiring is that in order for to lower your rate to 16%, we ask that all eligible products are set up with the CD and download insurance options. Your customers are not being forced to buy. They are just being presented with the option to buy just like they always have. This makes money for you and RegNow.
Q: Why do we have to agree to a new contract? Why can’t you just move everyone to the new 16%?
A: That would certainly be easier. But the fact is that even that would be a change to a legal document requiring your acceptance.
Q: Can I go back to the new contract if I change my mind?
A: Sorry but the answer is “no”. The old contract is so outdated that it needs to be revised. There are no hidden “gotchas” in the new contract. Q: There is a paragraph about holding funds. Does this mean RegNow is going to start holding back funds each month?
A: This paragraph was added mostly for new vendors whom we know very little about. For example, from time to time, there are people that sign up for a RegNow account and submit a ton of fraudulent orders at the end of a month. We then pay them according to our normal payment cycles. Later, we find that all of the orders are charged back as fraudulent and RegNow gets stuck holding the bag. One of the ways that we can offer ALL clients a lower rate is if RegNow can protect ourselves against fraudsters. This paragraph will do that.
